Terms & Conditions.

This agreement applies as between you, the user of this Web Site or Purchaser and Essential Automation Ltd. the owner of this Web Site. Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Web Site. If you do not agree to be bound by these Terms and Conditions, you should stop using the Web Site, or cancel your order immediately. No part of the Web Site or quotation is intended to constitute a contractual offer capable of acceptance. The Purchaser’s order constitutes a contractual offer and our acceptance of that offer is deemed to occur upon our sending a dispatch email to the Purchaser indicating that the order has been fulfilled and has been dispatched.

1. Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:
"Content" means any text, graphics, images, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Web Site;
"Goods" means any products that Essential Automation Ltd. advertises and / or makes available for sale through this Web Site.
"Service" means collectively any online facilities, tools, services or information that Essential Automation Ltd. makes available through the Web Site.
"Payment Information" means any details required for the purchase of Goods. This includes, but is not limited to, credit / debit card numbers, bank account numbers;
"Purchaser" means any person or business that buys Goods from Essential Automation Ltd. using the Web Site or by other means;
"Purchase Information" means collectively any orders, invoices, dispatch notes, receipts or similar that may be in hard copy or electronic.
"Premises" Means our place of business located at 30 The Street, Hevingham, Norwich, Norfolk NR10 5NA, United Kingdom.
"System" means any online communications infrastructure that Essential Automation Ltd. makes available through the Web Site.
"User"/ "Users" means any third party that accesses the Web Site and is not employed by Essential Automation Ltd.
"Web Site" means the website http://www.essentialautomation.co.uk / http://www.essentialautomation.com  and any sub-domains or mirrors of this site.

2. International Customers

2.1 If Goods are being ordered from outside the UK, import duties and taxes may be incurred once the Goods reach their destination. Essential Automation Ltd. is not responsible for these charges and we undertake to make no calculations or estimates in this regard. If a Purchaser is buying internationally, they are advised to contact their local customs authorities for further details on costs and procedures. The Purchaser of the Goods will also be the importer of record and as such should ensure that the purchase is in compliance with the laws of the country into which the Goods are being imported. Please be aware that Goods may be inspected on arrival at port for customs purposes and Essential Automation Ltd. gives no guarantee that the packaging of the Goods will be free of signs of tampering or opened.
2.2 It is the purchaser's responsibility to obtain a quotation for the cost of shipping from Essential Automation Ltd. prior to placing an order.
2.3 Essential Automation Ltd. will add UK VAT of 20% to all UK & European orders unless you are able to supply us with a valid EU VAT number (Europe only)

3. Warranty & Returns

3.1 All components, unless otherwise stated, are tested prior to being dispatched.
3.2 All components, unless otherwise stated, come with a 12 month return to base warranty. All warranty periods commence from the invoice date.
3.3 Any warranty claim must be received by Essential Automation Ltd. before the end of the warranty period and the defective component must be returned to us within 7 days of the claim being placed.
3.4 The purchaser is responsible for the costs of shipping, packaging and insurance when returning a component to us.
3.5 The warranty will be void if a component is found to have been damaged in any way by the purchaser.
3.6 The warranty will also be void if the component has not been correctly installed by a competent engineer and in accordance with the manufactures guide lines.
3.7 Batteries and other consumable items are not covered by this warranty.
3.8 Essential Automation Ltd. will attempt to repair a warranty returned component. If this is not possible we will offer a replacement component (if in stock) or offer a credit note for the full cost of the defective item.
3.9 Before returning any component the customer must obtain a Returns Authorisation Number. Without this we are unable to accept a returned item.

4. Returns

4.1 If the purchaser is not satisfied with an item, or ordered the incorrect item, the purchaser may return the item to Essential Automation Ltd. within 14 days of the invoice date. The item must be unused and in the same condition as when dispatched. New items must still be sealed in the original packaging. All items are security marked. Non warranty returns are subject to a 20% restocking fee.
4.2 Before returning any component the customer must obtain a Returns Authorisation Number. Without this we are unable to accept a returned item.

5. Repairs

5.1 All repairs, unless otherwise stated, are tested prior to being dispatched.

5.7 All repair quotations, unless otherwise stated, are subject to the actual component being inspected to evaluate reparability.
5.8 Essential Automation Ltd. will attempt to repair a warranty returned component. If this is not possible we will offer a replacement component (if in stock) or offer a credit note for the full cost of the defective item.

6. Liability

6.1 In no event shall Essential Automation Ltd. be liable for any damages except actual damages up to, but not exceeding, the amount paid to us for the component.
6.2 In no event shall Essential Automation Ltd. be liable for any consequential, indirect damages or lost profits

7. Intellectual Property

7.1 All Content included on the Web Site, including, but not limited to, text, graphics, logos, icons, images, data compilations, page layout, underlying code and software is the property of Essential Automation Ltd. or other relevant third parties. By continuing to use the Web Site you acknowledge that such material is protected by applicable United Kingdom and International intellectual property and other laws.
7.2 You may not reproduce, copy, distribute, store or in any other fashion re-use material from the Web Site unless otherwise indicated on the Web Site or unless given express written permission to do so by Essential Automation Ltd.

8. Third Party Intellectual Property

8.1 Unless otherwise expressly indicated, all Intellectual Property rights including, but not limited to, Copyright and Trademarks, in product images and descriptions belong to the manufacturers or distributors of such products as may be applicable.
8.2 You may not reproduce, copy, distribute, store or in any other fashion re-use such material unless otherwise indicated on the Web Site or unless given express written permission to do so by the relevant manufacturer, supplier or trademark holder.

11. Payment

11.1 Non account customers must pay for goods before shipping. Goods will not be shipped until the funds have cleared into our account.
11.2 All invoices on account are due for payment 30 days EOM from the date shown on the invoice, unless alternative arrangements have been agreed between the Purchaser and Essential Automation Ltd.
11.3 Interest will be charged on a daily basis, commercial interest at 1.5% above the base rate set by the Bank of England at the time.
11.4 When paying by bank transfer, all charges are the responsibility of the Purchaser. The amount paid to Essential Automation Ltd. MUST equal the amount on the invoice.

12. VAT

12.1 Essential Automation Ltd. will add UK VAT of 20% to all UK & European orders. If you are within Europe and able to supply us with your valid VAT number this will not be charged
