Terms & Conditions.

This agreement applies as between you, the user of this Web Site or Purchaser and Essential Automation the owner of this Web Site. Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your first use of the Web Site. If you do not agree to be bound by these Terms and Conditions, you should stop using the Web Site immediately. No part of this Web Site is intended to constitute a contractual offer capable of acceptance. The Purchaser’s order constitutes a contractual offer and our acceptance of that offer is deemed to occur upon our sending a dispatch email to the Purchaser indicating that the order has been fulfilled and has been dispatched.

1. Definitions and Interpretation

In this Agreement the following terms shall have the following meanings:

"Content" means any text, graphics, images, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Web Site;

"Goods" means any products that Essential Automation advertises and / or makes available for sale through this Web Site.

"Service" means collectively any online facilities, tools, services or information that Essential Automation makes available through the Web Site.

"Payment Information" means any details required for the purchase of Goods from this Web Site. This includes, but is not limited to, credit / debit card numbers, bank account numbers and sort codes;

"Purchaser" means any person or business that buys Goods from Essential Automation using this Web Site;

"Purchase Information" means collectively any orders, invoices, dispatch notes, receipts or similar that may be in hard copy or electronic.

"Premises" Means our place of business located at 30 The Street, Hevingham, Norwich, Norfolk NR10 5NA, United Kingdom.

"System" means any online communications infrastructure that Essential Automation makes available through the Web Site.

"User"/ "Users" means any third party that accesses the Web Site and is not employed by Essential Automation.

"Web Site" means the website that you are currently using http://www.essentialautomation.co.uk and any sub-domains or mirrors of this site.

2. International Customers

2.1 If Goods are being ordered from outside the UK, import duties and taxes may be incurred once the Goods reach their destination. Essential Automation is not responsible for these charges and we undertake to make no calculations or estimates in this regard. If a Purchaser is buying internationally, they are advised to contact their local customs authorities for further details on costs and procedures. The Purchaser of the Goods will also be the importer of record and as such should ensure that the purchase is in compliance with the laws of the country into which the Goods are being imported. Please be aware that Goods may be inspected on arrival at port for customs purposes and Essential Automation gives no guarantee that the packaging of the Goods will be free of signs of tampering or opened.
2.2 It is the purchaser's responsibility to obtain a quotation for the cost of shipping from Essential Automation prior to placing an order.
2.3 Essential Automation will add UK VAT of 20% to all UK & European orders unless you are able to supply us with a valid EU VAT number (Europe only)

3. Warranty

3.1 All components, unless otherwise stated, are tested prior to being dispatched.
3.2 All components, unless otherwise stated, come with a 6 month return to base warranty. All warranty periods commence from the invoice date.
3.3 Any warranty claim must be received by Essential Automation before the end of the warranty period and the defective component must be returned to us within one week of the claim being placed.
3.4 The purchaser is responsible for the costs of shipping, packaging and insurance when returning a component to us. This cost will be refunded to the purchaser if the component is found to be defective.
3.5 The warranty will be void if a component is found to have been damaged in any way by the purchaser.
3.6 The warranty will also be void if the component has not been correctly installed by a competent engineer and in accordance with the manufactures guide lines.
3.7 Batteries and other consumable items are not covered by this warranty.
3.8 Essential Automation will attempt to repair a warranty returned component. If this is not possible we will offer a replacement component (if in stock) or offer a credit note for the full cost of the defective item including return shipping.

4. Liability

4.1 In no event shall Essential Automation be liable for any damages except actual damages up to, but not exceeding, the amount paid to us for the component.
4.2 In no event shall Essential Automation be liable for any consequential, indirect damages or lost profits

5. Intellectual Property

5.1 Subject to the exceptions in Clause 4 of these Terms and Conditions, all Content included on the Web Site, including, but not limited to, text, graphics, logos, icons, images, data compilations, page layout, underlying code and software is the property of Essential Automation or other relevant third parties. By continuing to use the Web Site you acknowledge that such material is protected by applicable United Kingdom and International intellectual property and other laws.
5.2 Subject to Clause 5 you may not reproduce, copy, distribute, store or in any other fashion re-use material from the Web Site unless otherwise indicated on the Web Site or unless given express written permission to do so by Essential Automation.

6. Third Party Intellectual Property

6.1 Unless otherwise expressly indicated, all Intellectual Property rights including, but not limited to, Copyright and Trademarks, in product images and descriptions belong to the manufacturers or distributors of such products as may be applicable.
6.2 Subject to Clause 5 you may not reproduce, copy, distribute, store or in any other fashion re-use such material unless otherwise indicated on the Web Site or unless given express written permission to do so by the relevant manufacturer or supplier.

7. Fair Use of Intellectual Property

7.1 Material from the Web Site may be re-used without written permission where any of the exceptions detailed in Chapter III of the Copyright Designs and Patents Act 1988 apply

8. Links to Other Web Sites

8.1 This Web Site may contain links to other sites. Unless expressly stated, these sites are not under the control of Essential Automation. We assume no responsibility for the content of such web sites and disclaim liability for any and all forms of loss or damage arising out of the use of them. The inclusion of a link to another site on this Web Site does not imply any endorsement of the sites themselves.

9. Links to this Web Site

9.1 Those wishing to place a link to this Web Site on other sites may do so only to the home page of the site http://www.essentialautomation.co.uk without prior permission. Deep linking (i.e. links to specific pages or content within the site) requires the express permission of Essential Automation.

10. Payment

10.1 Non account customers must pay for goods before shipping. Goods will not be shipped until the the funds have cleared into our account.
10.2 Any and all invoices are due for payment on the date shown on the invoice, unless alternative arrangements have been agreed between the Purchaser and Essential Automation
10.3 Interest will be charged on a daily basis, commercial interest at 1.5% above the base rate set by the Bank of England at the time.

11. VAT

11.1 Essential Automation will add UK VAT of 20% to all UK & European orders. If you are within Europe and able to supply us with your valid VAT number this will not be charged
